Board of Trustees at West Africa Theological Seminary
The WATS constitution stipulates that the WATS trustees be appointed at the annual meeting of the General Assembly. It further states that the trustees shall be seven in number. The trustees may hold office for life. A trustee shall cease to hold office if he or she resigns, becomes insane, is officially declared bankrupt, is convicted of a criminal offense, is recommended for removal from office by the Governing Council, or ceases to reside in Nigeria. To remove a trustee from office, the Governing Council must recommend removal by a majority vote of all members and this action must be ratified by a 2/3 vote of the members present at a General Assembly meeting.
The trustees keep custody of the common seal of the seminary, and shall apply to the Corporate Affairs Commission for a Certificate of Incorporation under Part C of the Companies and Allied Matters Acts. If such Certificate is granted, the Trustees shall have power to accept and hold in trust all land and other assets and liabilities belonging to the Seminary and to acquire land on behalf of the Seminary subject to such conditions as the Corporate Affairs Commission may impose.
The Board of Trustees shall meet as and when demanded by its Chairman, but at least twice every session, and there shall be a quorum when three of them are present at any of their meetings. The Board of Trustees shall oversee and give directives to the Governing Council to ensure execution of the fundamental objectives and directive principles of the Seminary.
The Founder shall be the chairman of the Board of Trustees for life or until he ceases to be a member of the Board.
